These Terms & Conditions apply to all orders and contracts concluded via this online shop.

2. Scope of Application
These Terms & Conditions apply to all contracts between Schirmer GmbH (“Seller”) and the customer (“Customer”) concluded through this online shop.
3. Consumer and Business Customers
3.1 A consumer (B2C) is any natural person who places an order for purposes that are predominantly outside their trade, business or profession.
3.2 A business customer (B2B) is any person or entity acting in the course of their commercial or professional activity.
3.3 If the Customer is a consumer, mandatory consumer protection laws apply.
4. Products / Technical Goods
4.1 We sell spare parts and electronic components for CNC machines and industrial equipment, including but not limited to servo drives, power supplies, boards, modules and related parts.
4.2 The Customer acknowledges that these products are technical goods intended for professional use and require qualified installation, configuration and diagnostics.
5. Compatibility / Part Number Responsibility
5.1 The Customer is solely responsible for verifying compatibility, correct part numbers, machine versions and suitability before placing an order.
5.2 The Seller is not responsible for incorrect orders due to wrong part numbers, wrong machine configuration, incorrect diagnosis or missing technical information provided by the Customer.
5.3 If the Customer is unsure, the Customer must contact us before ordering.
6. Condition of Goods
6.1 The condition of the goods (new / tested / refurbished) is stated in the product description.
6.2 Product photos are for illustration purposes and may differ slightly from the delivered product.
7. Third-Party Trademarks (Okuma)
7.1 The Seller is not affiliated with, endorsed by, or officially connected to Okuma or any other machine manufacturer, unless explicitly stated.
7.2 “Okuma” and other brand names may be registered trademarks of their respective owners and are used only for identification and compatibility reference.
8. Prices, VAT and Shipping Costs
8.1 All prices are shown in EUR.
8.2 VAT is charged according to German and EU VAT regulations, depending on the Customer’s location and VAT status.
8.3 Shipping costs are displayed during checkout and must be paid by the Customer unless otherwise stated.
9. Payment
9.1 Available payment methods are shown during checkout.
9.2 The Seller may refuse certain payment methods for specific orders.
9.3 Orders are processed after payment is successfully confirmed, unless otherwise agreed in writing.
10. Shipping and Delivery
10.1 We ship from Germany.
10.2 Delivery times are estimates unless explicitly confirmed in writing as binding.
10.3 Partial deliveries may be made where reasonable.
10.4 If a product becomes unavailable, the Seller will inform the Customer and offer a replacement, delayed delivery, or cancellation.
11. Transfer of Risk
11.1 For business customers, the risk of accidental loss or damage passes to the Customer when the goods are handed over to the shipping carrier.
11.2 For consumers, statutory rules apply.
12. Right of Withdrawal (Consumers Only)
12.1 Consumers may have a statutory right of withdrawal.
12.2 Details of the right of withdrawal are provided in our separate Withdrawal Policy page.
12.3 Business customers do not have a statutory right of withdrawal.
13. Returns / Return Authorization
13.1 No returns will be accepted without prior written approval from the Seller.
13.2 The Customer must request a return in writing and provide:
- order number
- product name and part number
- reason for return
- photos (if required)
13.3 The Seller may refuse returns if:
- the product has been installed, used or modified
- the product shows installation marks, scratches, soldering, broken seals or manipulation
- the product is incomplete
- the packaging is missing or insufficient for safe transport
- the product is damaged due to improper packaging
13.4 The Customer is responsible for safe packaging.
Damage during return shipping caused by poor packaging is the Customer’s responsibility.
14. Special Rules for Electronic Components
14.1 Electronic components (e.g., servo drives, boards, modules, power supplies) are sensitive technical goods.
14.2 Returns may be refused if the product shows:
- signs of installation
- missing or broken warranty seals
- electrical damage
- contamination (dust, oil, coolant)
- corrosion
- burned components
- altered labels or serial numbers
14.3 The Customer accepts that incorrect wiring, machine faults, parameter errors or short circuits can destroy electronic parts.
The Seller is not responsible for such damage.
15. Warranty / Defects (Gewährleistung)
15.1 Statutory warranty rights apply.
15.2 For business customers, the warranty period may be limited to 12 months where legally permitted.
15.3 The Customer must inspect goods immediately upon receipt and report defects without undue delay.
15.4 The warranty does not cover damage caused by:
- incorrect installation
- incorrect wiring
- wrong voltage or wrong power supply
- software configuration errors
- parameter changes
- machine defects outside the delivered part
- mechanical damage
- improper handling
16. Limitation of Liability
16.1 The Seller is liable without limitation for:
- intent
- gross negligence
- injury to life, body or health
- mandatory liability under product liability laws
16.2 In cases of slight negligence, the Seller is liable only for breach of essential contractual obligations and limited to foreseeable typical damages.
16.3 The Seller is not liable for:
- machine downtime
- production loss
- loss of profit
- loss of data
- consequential or indirect damages
unless mandatory law requires otherwise.
17. Installation / Professional Use
17.1 The Customer is responsible for ensuring professional installation and correct use.
17.2 The Seller does not provide installation services through this shop unless explicitly agreed in writing.
18. Retention of Title
Goods remain the property of the Seller until full payment has been received.
19. Force Majeure
The Seller is not liable for delays or failure due to events beyond reasonable control, including strikes, supply chain disruptions, transport disruptions, natural disasters, war, or governmental restrictions.
20. Governing Law and Jurisdiction
20.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
20.2 If the Customer is a business, the place of jurisdiction is the Seller’s registered office in Germany.
20.3 For consumers, statutory jurisdiction rules apply.
21. Severability Clause
If any provision of these Terms is invalid, the remaining provisions remain valid.
